According to the Revenue Department’s regulations, a company will be considered part of the ROH’s corporate network based on its financial or management relationship with the ROH. A company will be deemed part of the ROH network if it owns at least 25% of shares in the ROH or vice versa. Additionally, two separate companies can also be considered part of the same corporate network if one owns at least 25% of shares in the ROH and the ROH owns at least 25% in the other company.
Moreover, a company may be considered within the ROH network if it has control over the management of the ROH, or if there is mutual control over the management between the ROH and the other company. In either case, both companies will be recognized as part of the ROH’s corporate network.

- รายได้จากต่างประเทศ – ROH จะต้องได้รับรายได้จากการให้บริการไม่น้อยกว่า 50% ของรายได้ทั้งหมดจากการบริการทางการจัดการ เทคโนโลยี และบริการสนับสนุน ซึ่งรายได้ดังกล่าวต้องมาจากบริษัทในเครือหรือสาขาที่ตั้งอยู่ในต่างประเทศ
การพิจารณาบริษัทในเครือของ ROH
ตามข้อกำหนดของกรมสรรพากร บริษัทที่จะถือเป็นบริษัทในเครือของ ROH สามารถพิจารณาได้จากความสัมพันธ์ทางการเงินหรือการจัดการ โดยบริษัทหนึ่งจะถือเป็นบริษัทในเครือของ ROH หากมีการถือหุ้นอย่างน้อย 25% ในกันและกัน หรือหากมีการควบคุมการจัดการร่วมกันระหว่างบริษัทสองแห่งที่มีความเชื่อมโยงทางการเงินหรือการจัดการ
การที่บริษัทในเครือ ROH จะได้รับสิทธิพิเศษนั้นจึงมีความสำคัญในการพิจารณาว่าบริษัทนั้น ๆ จะได้รับการสนับสนุนในแง่ของภาษีหรือสิทธิพิเศษทางกฎหมายอื่นๆ หรือไม่
บทบาทของนักแปลรับรองและล่ามรับรองในกระบวนการ
เมื่อ ROH ได้รับสิทธิพิเศษตามข้อกำหนดแล้ว กระบวนการที่เกี่ยวข้องกับการจัดตั้งหรือการขอสิทธิพิเศษจากกรมสรรพากรย่อมเกี่ยวข้องกับการใช้เอกสารทางธุรกิจที่จำเป็นต้องแปลเป็นภาษาไทยหรือภาษาอังกฤษ รวมถึงการให้บริการด้านการแปลที่ต้องมีความถูกต้องและได้รับการรับรองจากผู้เชี่ยวชาญ ซึ่งในส่วนนี้ บทบาทของนักแปลรับรอง ผู้รับรองการแปล และล่ามรับรองจากสมาคมวิชาชีพนักแปลและล่ามแห่งเอเชียตะวันออกเฉียงใต้ (SEAProTI) จึงมีความสำคัญอย่างยิ่ง
- นักแปลรับรอง – นักแปลที่ได้รับการรับรองจากสมาคมฯ จะช่วยให้การแปลเอกสารต่าง ๆ เช่น สัญญา ข้อตกลง และเอกสารทางการเงิน เป็นไปอย่างถูกต้องและแม่นยำ ซึ่งการแปลที่ผิดพลาดอาจนำไปสู่ปัญหาทางกฎหมายและการดำเนินธุรกิจที่ไม่ราบรื่น
- ผู้รับรองการแปล – ผู้รับรองการแปลที่ผ่านการรับรองจากสมาคมฯ จะตรวจสอบความถูกต้องของการแปล โดยการรับรองจะช่วยให้เอกสารที่แปลได้รับการยอมรับในระดับนานาชาติและสามารถนำไปใช้ในกระบวนการทางกฎหมายได้อย่างมั่นใจ
- ล่ามรับรอง – ล่ามที่ได้รับการรับรองจะมีบทบาทในการแปลภาษาในการประชุมหรือการสื่อสารระหว่างประเทศ ซึ่งจะช่วยให้การเจรจาทางธุรกิจระหว่างเจ้าหน้าที่ของ ROH และหน่วยงานภาครัฐ เช่น กรมสรรพากรเป็นไปอย่างเข้าใจตรงกัน
